Napkin Ventures Contest —Terms and Conditions

Effective Date: 16.02.26
Promoter: PNL Fintech B.V., Jachthavenweg 109 H, 1081 KM Amsterdam, the Netherlands ("Finom" or "Promoter").

1. Scope and Participation
1.1. Napkin Ventures is a promotional campaign organised by Finom to discover and support promising business ideas (the "Contest"). These terms and conditions (the “Terms and Conditions”) set out the terms and conditions of and govern participation in the Contest. The Contest consists of the main contest set out at Section 3 of these Terms and Conditions (the “Main Contest”), and the bonus contest, set out at Section 4 of these Terms and Conditions (the “Bonus Contest”).
1.2. To participate in the Contest, participants must accept and agree to be bound by these Terms and Conditions as set out in Section 3 and 4.
1.3. This draw is in no way sponsored, endorsed, administered by, or associated with Instagram. By entering, participants release Instagram of all responsibility.

2. Contest Period
2.1. Both the Main Contest and the Bonus Contest begin on 16.02.26  at 00:00 CET and end on 28.02.26 at 23:59 CET (the "Contest Period").
2.2. Entries received outside the Contest Period will not be considered.
2.3. Finom reserves the right to extend or shorten the Contest Period, in particular if proper conduct cannot be guaranteed for technical or legal reasons.. Any changes will be announced on the Contest landing page at finomnapkin.com.

3. How to Enter the Main Contest
3.1. To enter the Main Contest, participants must complete all of the following steps during the Contest Period:
(a) Visit Peter's Bar, Am Tacheles, Friedrichstraße 110A, Berlin, Germany, and place an order at the bar to receive a Finom-branded napkin;
(b) Write a business idea on the napkin in handwriting;
(c) Take a photograph of the napkin showing the written idea;
(d) Send the photograph via Instagram Direct Message to @finom.co;
(e) Upon receiving an automated reply from @finom.co, confirm acceptance of these Terms and Conditions and the "Privacy Notice" by replying "YES" to the message. 
3.2. A Main Contest entry is not complete and will not be considered until the participant has confirmed acceptance per Section 3.1(e). Submissions without confirmation will not be evaluated. Participation in the Main Contest is conditional upon valid consent. If a participant deletes or unsends their 'YES' confirmation message, Finom will treat this as a withdrawal of consent and a voluntary withdrawal from the Main Contest. In such cases, we are legally required to cease processing your entry, and you will no longer be eligible for a prize.
3.3. Participants may submit up to 10 entries to the Main Contest, provided each entry contains a different business idea. Each submission requires a separate napkin, photograph, and "YES" confirmation.
3.4. Submissions must be in English or German.
3.5. Submissions must not contain:
(a) Content that is defamatory, obscene, offensive, discriminatory, incites hatred or violence, or otherwise violates applicable law;
(b) Content that infringes any third-party intellectual property rights, privacy rights, or other rights;
(c) Content that promotes illegal activity;
(d) Personal data of third parties without their consent;
(e) Content that is illegible, partially missing, overwritten or blurred.
3.6. Finom reserves the right to disqualify any entry that does not comply with these Terms and Conditions.
3.7. Finom is not responsible for entries that are lost, late, misdirected, or incomplete due to technical failures, Instagram platform issues, or any other cause beyond Finom's reasonable control.

4. How to Enter the Bonus Contest
4.1. To enter the Bonus Contest, participants must complete all of the following steps during the Contest Period:
(a) Visit Peter's Bar, Am Tacheles, Friedrichstraße 110, Berlin, Germany, Berlin, Germany, and place an order at the bar to receive a Finom-branded napkin;
(b) Write a business idea on the napkin in handwriting;
(c) Take a photograph of the napkin showing the written idea;
(d) Post the photograph to their Instagram Story and tag @finom.co in the Story. Each Story post featuring a different business idea constitutes a separate entry.
(e) Upon receiving an automated reply from @finom.co, confirm acceptance of these Terms and Conditions and the Privacy Notice by replying "YES" to the message. 
4.2. A Bonus Contest entry is not complete and will not be considered until the participant has confirmed acceptance per Section 4.1.(e). Submissions without confirmation will not be evaluated. Participation in the Bonus Contest is conditional upon valid consent. If a participant deletes or unsends their 'YES' confirmation message, Finom will treat this as a withdrawal of consent and a voluntary withdrawal from the Main Contest. In such cases, we are legally required to cease processing your entry, and you will no longer be eligible for a prize.
4.3. Finom will capture and retain screenshots of all Bonus Contest entries for record-keeping and verification purposes. Each entry will be assigned a unique identification number.
4.4. Participants must have a public Instagram account, or their Story must be visible to @finom.co, for their entry to be recorded. Entries that cannot be viewed or retrieved due to participants’ privacy settings will not be considered.
4.5. The content requirements outlined in Section 3.5 apply equally to Bonus Contest entries. 
4.6. Finom reserves the right to disqualify any entry that does not comply with these Terms and Conditions. Entering the Bonus Contest does not require entering the Main Contest, and vice versa. Participants may enter one or both contests.
4.7. Participants may submit up to 10 entries to the Bonus Contest, provided each entry contains a different business idea. Each submission requires a separate napkin, photograph and tag. Participants may use the same napkin for the Main Contest and the Bonus Contest.

5. Eligibility
5.1. Both the Main Contest and the Bonus Contest are open to natural persons  who:
(a) are at least 18 years of age at the time of entry;
(b) are legal residents of Germany;
(c) are not employees, officers, directors, or contractors of Finom or its affiliates, nor immediate family members (spouse, parent, child, sibling) or household members of such persons.
(“Eligible Participants”).
5.2. To obtain a Finom-branded napkin, Eligible Participants must place an order at Peter's Bar, Am Tacheles, Friedrichstraße 110A  Berlin, Germany, during the Contest Period. One napkin is provided per order. Finom is not responsible for the products or services offered by Peter's Bar.
5.3. Eligible Participants may submit up to 10 entries each to the Main Contest and/or the Bonus Contest. The same entry submitted to the Main Contest can be submitted to the Bonus Contest. Each entry must contain a different business idea. Submitting the same idea multiple times will result in all duplicate entries being disqualified.
5.4. Eligible Participants may win both the Main Contest and the Bonus Contest, as they are separate contests with independent selection processes.
5.5. Eligible Participants are solely responsible for ensuring they meet the eligibility requirements. Finom reserves the right to verify eligibility at any time and to disqualify any participant who does not meet the requirements.

6. Main Contest — Judging and Winner Selection
6.1. All eligible Main Contest entries will be evaluated by a jury appointed by Finom (the "Jury"). The Jury may include Finom leadership, including but not limited to founders, executives, and creative directors. The composition of the Jury will be determined by Finom in its sole discretion. The Jury will select a chair from among its members.
6.2. Each Jury member will independently score each submission on a scale of 0–10 for each of the following criteria:

6.3. The weighted scores from all Jury members will be aggregated to produce a total score for each submission. The three (3) submissions with the highest total scores will be selected as winners, subject to Section 6.6.
6.4. In the event of a tie, the following tie-breaker procedure will apply:
(a) The submission with the higher score in Feasibility will be ranked higher;
(b) If still tied, the submission with the higher score in Market Potential will be ranked higher;
(c) If still tied, the Jury chair will cast a deciding vote.
6.5. Jury members must recuse themselves from evaluating any submission where they have a personal or professional relationship with the participant that could create a conflict of interest. If a Jury member identifies a potential conflict, they must disclose it to the Jury chair, who will determine whether recusal is required.
6.6. Quality Threshold. Finom reserves the right, in its sole discretion, to award fewer than three (3) Main Contest prizes or no prizes at all if the Jury determines that an insufficient number of submissions meet a minimum quality standard. A submission meets the minimum quality standard if it receives an average score of 4.0 out of 10 across all criteria.
This decision is final and not subject to appeal.
6.7. The Jury's decisions are final and binding. No correspondence will be entered into regarding the judging process or results, except as required by law.
6.8. A single participant may win multiple Main Contest prizes if they submit multiple eligible entries that rank among the top three. In such cases, the prizes will be awarded for each winning entry separately, and each prize remains subject to the conditions in Section 8.

7. Bonus Contest — Winner Selection
7.1. The Bonus Contest winner will be selected by random draw from all eligible entries.
7.2. Finom will compile a list of all eligible Bonus Contest entries, with each entry assigned a unique identification number. A random number generator will be used to select the winning entry.
7.3. The random draw will be conducted within fourteen (14) days of the end of the Contest Period.
7.4. Eligibility Verification. Before confirming the Bonus Contest winner, Finom will verify that:
(a) The selected entry complies with the content requirements in Section 3.5;
(b) The participant meets the eligibility requirements in Section 5;
(c) The entry was submitted during the Contest Period.
7.5. If the selected entry fails eligibility verification, Finom will conduct an additional random draw to select an alternative winner. This process will repeat until an eligible winner is confirmed or until Finom determines, in its sole discretion, that no eligible entries remain.
7.6. Quality Threshold. Finom reserves the right not to award the Bonus Contest prize if, in its sole discretion, no entries meet a minimum quality standard (i.e., the entry contains a legible, genuine business idea and complies with Section 3.5).
7.7. The random selection process and Finom's decisions regarding eligibility are final and binding.
7.8. Each entry is treated independently in the random draw. A participant who submits multiple entries (up to a maximum of 10) has a proportionally higher chance of being selected, but may only win the Bonus Contest prize once.

8. Main Contest Prizes
8.1. The following prizes will be awarded to eligible Main Contest winners:

8.2. Prize Conditions. Main Contest prizes are conditional upon the winner:
(a) Successfully registering a business in Germany within ninety (90) days of being notified of their win (the "Registration Deadline"); AND
(b) Opening a Finom business account in the name of the registered business.
8.3. Upon successful business registration and Finom account opening, the prize amount will be credited to the winner's Finom business account. A dedicated Finom account manager will assist winners with the business registration and account opening process at no additional cost.
8.4. Finom Account Terms. The Finom business account is subject to Finom's standard account terms and conditions, which the winner accept’s upon opening of the business account, including identity verification (KYC) and anti-money laundering (AML) requirements. If a winner is unable or unwilling to satisfy these requirements or open a Finom business account, the prize will be forfeited.
8.5. Forfeiture. If a Main Contest winner fails to register a business or open a Finom account by the Registration Deadline, the prize will be forfeited. Finom may, at its sole discretion:
(a) Award the forfeited prize to the next-highest-scoring participant who meets all eligibility requirements; or
(b) Retain the forfeited prize amount.
8.6. Main Contest prizes are non-transferable and cannot be exchanged for cash or other alternatives, except as provided in Section 8.5.
8.7. Taxes. Winners are solely responsible for any taxes, duties, levies, or other charges arising from the receipt of a prize. Finom will not gross up prizes to account for tax liability. Winners are advised to seek independent tax advice.
8.10. If a single participant wins multiple Main Contest prizes, each prize is subject to the conditions in this Section 8. The participant may register a single business and open a single Finom account to receive all prizes or may register separate businesses for each winning idea at their discretion.

9. Bonus Contest Prize
9.1. The Bonus Contest prize is €2,000, payable by bank transfer to the winner's designated bank account.
9.2. No Conditions. The Bonus Contest prize is not conditional upon business registration or opening a Finom account.
9.3. To receive the prize, the Bonus Contest winner must provide:
(a) Full legal name;
(b) Date of birth (for identity verification);
(c) Residential address;
(d) Bank account details (IBAN and BIC) for a bank account in the winner's name.
9.4. Finom will process the bank transfer within thirty (30) days of receiving complete and verified payment details from the winner.
9.5. The Bonus Contest prize is non-transferable and cannot be exchanged for other alternatives.
9.6. Taxes. The winner is solely responsible for any taxes, duties, levies, or other charges arising from the receipt of the prize. Finom will not gross up the prize to account for tax liability.
9.7. Forfeiture. If the Bonus Contest winner fails to provide the required information within fourteen (14) days of being notified, or if the provided bank account details are invalid or cannot be verified, the prize may be forfeited. Finom may, at its sole discretion, conduct an additional random draw to select an alternative winner or retain the forfeited prize amount.
9.8. Each participant may only win the Bonus Contest prize once, regardless of the number of entries submitted.

10. Winner Notification and Announcement
10.1. Main Contest Winners. Main Contest winners will be notified via Instagram Direct Message within fourteen (14) days of the end of the Contest Period.
10.2. Bonus Contest Winner. The Bonus Contest winner will be notified via Instagram Direct Message within fourteen (14) days of the random draw.
10.3. Winners must respond to the notification within three (3) days to:
(a) Confirm acceptance of the prize;
(b) Provide additional information required for prize fulfilment as specified in Sections 8 and 9, including an email and telephone number.
10.4. If a winner does not respond within three (3) days, or if the notification is undeliverable after reasonable attempts, the prize may be forfeited and awarded to an alternative winner at Finom's discretion.
10.5. Award Event. Main Contest winners will be publicly announced at the Finom event at Berlin TV Tower on 12 March 2025 (the "Award Event"). Winners will be invited to attend the Award Event. Attendance is encouraged but not mandatory for prize eligibility. Finom will not cover travel or accommodation expenses for winners attending the Award Event unless otherwise agreed in writing.
10.6. The Bonus Contest winner may also be announced at the Award Event or via Finom's social media channels.
10.7. Publicity Consent. By accepting a prize, winners consent to the publication of:
(a) Their first name and last initial (or full name, if the winner consents);
(b) Their photograph (taken at the Award Event or provided by the winner);
(c) A description of their winning business idea;
(d) Any other information the winner voluntarily provides for publicity purposes.
This information may be used by Finom for promotional and publicity purposes, including on Finom's website, social media channels, press releases, and marketing materials, without additional compensation. Winners may consent to their full name being used, without explicit consent Finom will use first name and last initial only.
10.8. Winner Verification. Finom reserves the right to verify the identity and eligibility of winners before awarding prizes. Winners may be required to provide proof of identity, age, and residency. Failure to provide satisfactory verification within a reasonable timeframe may result in disqualification and forfeiture of the prize.

11. Intellectual Property
11.1. Ownership. Participants retain full ownership of their submitted business ideas. Nothing in these Terms transfers ownership of any intellectual property from the participant to Finom.
11.2. Licence Grant. By entering the Contest, participants grant Finom a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, display, distribute, and create derivative works of the submitted napkin photograph and the business idea contained therein for the purposes of:
(a) Administering and promoting the Contest;
(b) Announcing and publicising the winners;
(c) Marketing and promotional activities related to Finom and the Contest;
(d) Internal business purposes, including research and analysis.
11.3. Attribution. Where reasonably practicable, Finom will attribute the business idea to the participant when using it for promotional purposes. However, Finom is not obligated to provide attribution in all circumstances. The participants waive their right to be named as the author in these cases.
11.4. No Confidentiality. Finom is under no obligation to treat submissions as confidential. Participants acknowledge that:
(a) Submissions may be viewed by Jury members, Finom employees, and service providers involved in administering the Contest;
(b) Bonus Contest entries posted to Instagram Stories are publicly visible (subject to the participant's privacy settings) and may be viewed, shared, or reposted by third parties;
(c) Finom may be independently developing, or may have previously developed, ideas similar to those submitted;
(d) Finom has no obligation to compensate participants if their submitted ideas are similar to Finom's past, current, or future products, services, or initiatives.
11.5. No Obligation to Use. Finom is under no obligation to use, develop, commercialise, or otherwise exploit any submitted idea. Participation in either contest does not create any expectation of a business relationship between the participant and Finom beyond the contest itself.
11.6. Participant Warranty. By entering, participants represent and warrant that:
(a) The submitted idea is their own original work;
(b) They have the full right and authority to submit the idea and grant the licence in Section 11.2;
(c) The submission does not infringe any third-party intellectual property rights, privacy rights, or other rights;
(d) The submission does not violate any applicable law or regulation.
11.7. Indemnification. Participants agree to indemnify and hold harmless Finom and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from any breach of the warranties in Section 11.6.

12. Limitation of Liability
12.1. To the fullest extent permitted by applicable law, Finom and its affiliates, officers, directors, employees, agents, and partners (including Peter's Bar) shall not be liable for any loss, damage, or injury arising out of or in connection with participation the Contest, the acceptance or use of any prize, or any other matter relating to the Contest, including, but not limited to:
(a) Any indirect, incidental, special, consequential, or punitive damages;
(b) Any technical failures, including but not limited to Instagram platform issues, internet connectivity problems, or device malfunctions, that prevent entry, notification, or prize fulfilment;
(c) Any lost, late, misdirected, incomplete, or illegible entries;
(d) Any unauthorised access to, alteration of, or theft of submissions;
(e) Any failure of a Main Contest winner to register a business or open a Finom account;
(f) Any failure or delay in processing bank transfers for the Bonus Contest prize;
(g) Any tax liability arising from the receipt of a prize;
(h) Any actions or omissions of Peter's Bar or its employees;
(i) Any issues arising from the random number generator or selection process.
12.2. Finom's total liability to any participant in connection with the Contest shall not exceed the maximum value of the prize that can be won by one participant.
12.3. Nothing in these Terms excludes or limits liability for:
(a) Death or personal injury caused by negligence;
(b) for damages caused by intent or gross negligence;
(c) liability arising from any explicit guarantee provided by Finom or any contest partner.

13. General Provisions
13.1. Governing Law and Jurisdiction. These Terms and Conditions are governed by the laws of Germany, without regard to conflict of law principles. Any disputes arising from or in connection with either contest shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
13.2. Modification. Finom reserves the right to modify these Terms and Conditions at any time during the Contest Period if circumstances require, including but not limited to changes required by law, changes to contest mechanics, or correction of errors. Material changes will be announced on the Contest landing page. Continued participation after changes are posted constitutes acceptance of the modified Terms.
13.3. Suspension and Cancellation. Finom reserves the right to suspend or cancel either or both the Main Contest and /or the Bonus Contest at any time if circumstances beyond Finom's reasonable control make it necessary, including but not limited to:
(a) Force majeure events (e.g., natural disasters, pandemics, war, civil unrest);
(b) Technical failures affecting the integrity of the contests;
(c) Suspected fraud or manipulation;
(d) Legal or regulatory requirements.
In such cases, Finom will use reasonable efforts to notify participants via the Contest landing page and/or Instagram. Finom shall not be liable for any suspension or cancellation.
13.4. Disqualification. Finom reserves the right to disqualify any participant who:
(a) Violates these Terms and Conditions;
(b) Attempts to manipulate or undermine the integrity of either contest;
(c) Engages in fraudulent, deceptive, or dishonest conduct;
(d) Behaves in a manner that is abusive, threatening, or harassing toward Finom employees, Jury members, or other participants;
(e) Submits the same idea multiple times or submits substantially similar ideas to inflate their chances of winning.
13.5. Severability. If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
13.6. Waiver. Finom's failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other provision.
13.7. Entire Agreement. These Terms, together with the Privacy Notice, constitute the entire agreement between participants and Finom regarding the Contest and supersede any prior agreements, understandings, or representations.
13.8. Assignment. Finom may assign its rights and obligations under these Terms and Conditions to any affiliate or successor without notice. Participants may not assign their rights or obligations under these Terms.
13.9. No Partnership or Agency. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between Finom and any participant.
13.10. Language. These Terms are provided in English and German. In the event of any conflict or inconsistency between the English and German versions, the German version shall prevail.

14. Venue Partner
14.1. Peter's Bar, Am Tacheles, Friedrichstraße 110A, Berlin, Germany, is the venue partner for these contests.
14.2. Peter's Bar's role is limited to:
(a) Holding Finom-branded napkins for distribution to contest participants;
(b) Distributing napkins to individuals who place an order at the bar.
14.3. Peter's Bar is not involved in the administration, judging, random draw, or prize fulfilment of either contest.
15.4. Finom is not responsible for any products, services, or experiences provided by Peter's Bar. Any issues arising from a participant's visit to Peter's Bar should be directed to Peter's Bar.
